These Terms of Service (the “Terms”) govern your access to and use of BareLedger (the “Service”), a cloud accounting platform available at bareledger.app, operated by Syneria Technologies OPC (“Syneria,” “we,” “us,” or “our”), a One Person Corporation organized under the laws of the Republic of the Philippines, with registered address at 7th Floor, Inoza Tower, 40th Street, Taguig, Metro Manila, Philippines, 1630.
By creating an account, ticking the acceptance checkbox at registration, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” refers to that business.
1. The Service
BareLedger is a multi-tenant, software-as-a-service accounting platform providing, among other features: sales invoicing and credit notes; bills, vendor credits, and expense tracking; double-entry journals with approval and posting workflows; chart of accounts; payments and allocations; bank reconciliation; financial reporting; audit trails; statutory filing preparation; withholding tax certificates; e-invoice generation and signing; and multi-currency, multi-branch, and multi-entity management.
We may add, change, or remove features from time to time. Material reductions to features included in your paid plan will take effect no earlier than your next renewal.
2. Accounts and registration
- You must provide accurate, current, and complete information when registering and keep it up to date.
- You are responsible for safeguarding your credentials and for all activity under your account. We strongly recommend enabling two-factor authentication.
- You must be at least 18 years old and capable of entering into a binding contract.
- Each organization (tenant) you create in the Service is administered by its owners and administrators, who control who may access that organization's data.
3. Plans, billing, and cancellation
3.1 Free plan
The Service offers a free plan that is free forever, subject to its feature and usage limits. No payment method is required to use the free plan.
3.2 Paid subscriptions
- Paid plans are billed on a recurring basis (monthly or annually) through hosted checkout flows. We do not receive or store your full card or payment-instrument details.
- Depending on your country and chosen payment method, your payment is processed either by Paddle — acting as merchant of record for the transaction, in which case Paddle's checkout terms also apply and Paddle calculates and remits applicable VAT/GST/sales tax — or by PayMongo for Philippine local payment methods (such as GCash, Maya, QR Ph, and online banking), in which case Syneria is the seller of record and Philippine prices are shown inclusive of 12% VAT.
- Prices and applicable taxes are shown before you confirm checkout.
- Subscriptions renew automatically at the end of each billing period unless canceled.
3.3 Failed payments
If a renewal payment fails, your subscription enters a grace period of seven (7) days during which we will retry collection. If payment is not received by the end of the grace period, your subscription may be suspended or downgraded to the free plan.
3.4 Cancellation
You may cancel a paid subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period: you keep paid features until then, after which your account reverts to the free plan. Fees already paid are non-refundable except as described in the Refund Policy.
4. Your data
- You own your data. All accounting records, documents, and other content you submit to the Service (“Customer Data”) remain yours. You grant us a limited license to host, process, and display Customer Data solely to provide the Service.
- You are responsible for the accuracy, quality, and legality of Customer Data and for having the rights necessary to submit it.
- You may export your data (for example, chart of accounts and reports) using the export features available in the Service.
- Personal data is processed in accordance with our Privacy Policy.
5. Acceptable use
You agree not to:
- use the Service for any unlawful purpose, including fraud, money laundering, or evasion of tax obligations;
- falsify, backdate, or manipulate accounting records with intent to deceive any person, auditor, or authority;
- attempt to gain unauthorized access to the Service, other customers' data, or our systems;
- probe, scan, or test the vulnerability of the Service without our prior written consent;
- interfere with or disrupt the integrity or performance of the Service;
- resell, sublicense, or provide the Service to third parties as a service bureau without our written agreement; or
- reverse engineer, decompile, or copy the Service except to the extent permitted by law.
6. Compliance features and professional advice
The Service provides tools that assist with bookkeeping and tax compliance — including statutory form preparation, withholding tax certificates, and e-invoice formats for multiple countries. These tools are provided for convenience and do not constitute accounting, tax, or legal advice. You remain solely responsible for the accuracy, completeness, and timely submission of your filings and for compliance with the laws of your jurisdiction. Syneria does not claim accreditation, approval, or endorsement by any tax authority or government agency unless expressly stated in writing.
7. International use
The Service includes compliance content for multiple jurisdictions (currently including the Philippines, Australia, New Zealand, the United States, Canada, Japan, Mexico, the United Arab Emirates, Saudi Arabia, and Egypt). Regardless of the jurisdiction in which you operate:
- you are responsible for determining whether the Service meets your local legal, tax, and record-keeping requirements;
- statutory record retention is applied according to the requirements of your country of registration (see Section 10); and
- these Terms remain governed by Philippine law as set out in Section 14, without prejudice to mandatory consumer or data-protection rights granted to you by the laws of your own jurisdiction that cannot be waived by contract.
8. Intellectual property
The Service, including its software, design, and branding, is owned by Syneria and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.
9. Availability, security, and support
- We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Maintenance windows and factors beyond our control may cause downtime.
- We implement technical and organizational safeguards including encrypted transport (TLS), hashed passwords, encrypted two-factor secrets, role-based access control, and append-only audit logs.
- Support is provided via inquiries@syneria.ph.
10. Term, suspension, and termination
- These Terms apply from the moment you first use the Service until your account is closed.
- We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use presents a security risk to the Service or other customers. Where practicable, we will notify you and give you an opportunity to cure the breach.
- You may close your account at any time. Upon closure, your data will be retained and then deleted in accordance with our Privacy Policy and applicable statutory record-retention periods (for example, ten (10) years for accounting records under Philippine regulations, or the equivalent period required in your country of registration). Financial records subject to a statutory retention period cannot be purged before that period lapses.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNERIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT IT WILL SATISFY ANY PARTICULAR REGULATORY REQUIREMENT APPLICABLE TO YOUR BUSINESS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) SYNERIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) SYNERIA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SYNERIA FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU USE ONLY THE FREE PLAN, ONE THOUSAND PHILIPPINE PESOS (₱1,000)). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY ARISING FROM FRAUD OR WILLFUL MISCONDUCT.
13. Indemnity
You will indemnify and hold harmless Syneria from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your breach of these Terms, or your violation of applicable law, except to the extent caused by our own breach or misconduct.
14. Governing law and venue
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Any dispute arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the proper courts of Taguig City, Metro Manila, Philippines, to the exclusion of all other venues, without prejudice to any mandatory rights you may have under the consumer or data-protection laws of your own jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. For material changes, we will provide notice (for example, by email or in-app notice) at least fifteen (15) days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to a change, you may cancel your subscription before it takes effect.
16. General
- These Terms, the Privacy Policy, and the Refund Policy constitute the entire agreement between you and Syneria regarding the Service.
- If any provision is held unenforceable, the remainder stays in effect.
- Our failure to enforce a provision is not a waiver of it.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
